Exciting news! 🎉 As of June 11, 2024, important changes to the Rules will come into effect. These changes include the removal of the requirement to cancel repurchased shares. Moving forward, issuers will have the option to hold the repurchased shares in treasury, in accordance with the laws of their places of incorporation and their constitutional documents. On 26 January 2024, The Stock Exchange of Hong Kong Limited (“Stock Exchange”) published a report on the findings and recommendations of its annual review of issuers’ annual reports for the 2022 financial year end. The Stock Exchange indicated that issuers continued to achieve a high rate of compliance with the annual report disclosure requirements under the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited.   The Stock Exchange selected several areas for thematic review including financial reporting and controls, material asset impairments (including loan impairments) and compliance with annual report disclosure requirement. The Stock Exchange of Hong Kong Limited (Stock Exchange) recently amended the Rules Governing the Listing of Securities on the Stock Exchange (Listing Rules) to adopt a new framework for treasury shares. The amended Listing Rules remove the requirement for listed companies to cancel repurchased shares and listed companies will be allowed to hold the repurchased shares in treasury for future resale if permitted under the laws of their places of incorporation and their constitutional documents. The Hong Kong Stock Exchange (HKEX) has published a Consultation Paper seeking feedback on proposals to reduce the minimum spreads – or tick sizes – of certain Hong Kong securities, including equities, REITs and equity warrants, in two phases. Suggested by the Hong Kong Government-appointed Task Force on Enhancing Stock Market Liquidity, the proposals aim to improve Hong Kong market liquidity and the global competitiveness of the Hong Kong market by lowering bid-ask spreads and transaction costs. The JSE’s fast track listing process has been revolutionary regulatory enhancement for SA Capital Markets. Over the past decade, 60 offshore companies have gaining access to SA’s deep and liquid markets via listed mandates, eligibility to FTSE/JSE Indices and increased liquidity for their offshore operations, of which many issuers had limited African operations. Hong Kong (HKEX) listed companies can now access the SA capital markets via the fast track listing process, this means that on listing, information is incorporated by reference via a pre listing announcement (no prospectus is necessary). The facts are that listing on an exchange in the United States can open a company up to various levels of litigation risk (such as Sarbanes-Oxley) which brings with it potentially crippling costs. There is however, an alternative where issuers can get the best of their home market by maintaining their primary listing and benefiting from a less litigious environment while also accessing the depth of the U.S. capital markets.
