Exciting news! 🎉 As of June 11, 2024, important changes to the Rules will come into effect. These changes include the removal of the requirement to cancel repurchased shares. Moving forward, issuers will have the option to hold the repurchased shares in treasury, in accordance with the laws of their places of incorporation and their constitutional documents. On 26 January 2024, The Stock Exchange of Hong Kong Limited (“Stock Exchange”) published a report on the findings and recommendations of its annual review of issuers’ annual reports for the 2022 financial year end. The Stock Exchange indicated that issuers continued to achieve a high rate of compliance with the annual report disclosure requirements under the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited.   The Stock Exchange selected several areas for thematic review including financial reporting and controls, material asset impairments (including loan impairments) and compliance with annual report disclosure requirement. 𝗡𝗲𝘄 𝘀𝘁𝗼𝗰𝗸 𝗲𝘅𝗰𝗵𝗮𝗻𝗴𝗲 𝗹𝗶𝘀𝘁𝗶𝗻𝗴 𝗿𝗲𝗴𝘂𝗹𝗮𝘁𝗶𝗼𝗻𝘀: 🔍 Deutsche Boerse published the revised Stock Exchange rules (Boersenordnung) yesterday: https://lnkd.in/eJXrhdsE A significant change concerns #IPOs / #Listings at the #GeneralStandard Segment (regulated market): It states under §45 that the application can now be made by the issuer alone and not, as previously (mandatory), together with a credit institution or regulated financial services provider. This should reduce the costs of an IPO, as the banks and financial service providers get paid in the past for the official application and the resulting liability risks. Nevertheless, an issuer will at least engage an advisor and/or a law firm for support. Whether this new regulation will lead to more IPOs remains to be seen.

The facts are that listing on an exchange in the United States can open a company up to various levels of litigation risk (such as Sarbanes-Oxley) which brings with it potentially crippling costs. There is however, an alternative where issuers can get the best of their home market by maintaining their primary listing and benefiting from a less litigious environment while also accessing the depth of the U.S. capital markets.
