Governance

The governance structures of the EBU provide Members with the opportunity to become actively involved in the activities of “their” organization and to provide valuable input to the Management of the EBU.

EBU Governing Bodies

The Governing Bodies responsible for the overarching “corporate governance” of the EBU are the General Assembly and the Executive Board, whose roles in overseeing the overall Governance of the EBU are described below.

General Assembly

The General Assembly is the supreme governing body of the EBU and possesses all powers necessary for accomplishing the Union’s objectived including the definition of the organization’s strategy and approval of its finances.

It meets twice a year: the summer session is open for all Members and is hosted by a Member organisation; the December session is limited to Members and is held in Geneva.

Executive Board

The Executive Board is responsible for ensuring the implementation of the EBU’s strategy and policies as put into action by the Management of the EBU.

Its 11 members are senior representatives of EBU Member organizations and are elected by the General Assembly for a two-year tenure. The Executive Board meets around seven times a year.

The Board elected for the 2023-2024 mandate is chaired by EBU President Delphine Ernotte Cunci (FTV).

The Sports Investment Board reports to the Executive Board in conjunction with specific sports rights acquisition projects.

Member Involvement in EBU Activities

Full participation of Members in EBU's activities is also ensured through a hierarchy of Assemblies, Committees and Expert Groups responsible for providing direction and guidance for specific sectors and activities.

The Assemblies provide Members with the opportunity to explore major strategic themes as well as to network and exchange information about studies projects and expertise in numerous sectors including news, sports radio, television, technology & innovation, legal and public affairs, human resources and finance.

Assemblies active in the sectors of news, sports radio, television, technology & innovation and legal & public affairs are also responsible for electing representatives from EBU Members to serve on the Committees that provide valuable strategic guidance for EBU activities in their respective sectors as well as approving the respective annual objectives for these Committees.

Groups composed of EBU Member representatives may also be established for providing guidance and expertise for specific EBU activities and projects.

Corporate Governance

The EBU is a non-profit organization, established in 1950 under Swiss Law.

The activities of the EBU Governing bodies are structured and organised in accordance with the EBU Statutes and Bye-Laws and in respect of international best practices for Corporate Governance.

In ensuring best corporate governance practice, the Internal Audit function plays a key role in supporting the continuing evaluation of governance processes and ethics within the EBU as well as communicating risk and control information, which allows the Audit Committee to perform its control function as an advisory body to the Executive Board.  The work of the Internal Audit function also provides critical added value to the Management as an independent source of objective assurance and assessment.
