Ever considered a misrepresentation of association with cannabis? The Applicant was the landlord of a mall, faced with the issue of evicting a tenant, a café, as a result of material misrepresentation. The Respondent claimed to be a café and failed to disclose the fact that the café was cannabis themed. The Lease Agreement was conditional on an accurate disclosure of the Respondent’s business. The Court decision was based on the Respondent’s business activities not being disclosed in the Lease Agreement. The Court found that the Respondent’s misrepresentation of the business activities did not fall in line with the Applicant’s selection criteria for a tenant. In a case earlier this year, the Supreme Court of Appeal dealt with the issue of whether to uphold an exception brought against directors of a company in respect of a claim based on s22(1) and s218(2) of the Companies Act. The directors argued that the abovementioned Sections of the Act do not apply to directors, but rather the company as a whole and thus, they are not liable. The SCA eventually confirmed the High Court’s decision to uphold the exception on the grounds that the abovementioned Sections do not generate liability itself but rather, enforces liability in the event of another section of the Act being contravened. The Applicants were advised that they relied on the incorrect Sections of the Act to invoke liability of the directors.
