For smooth and effective registration for E-commerce service, please read the following messages:

(1) This registration is needed only while the customer requests for the services of "e-Booking", "B/L Instruction", "B/L Proofreading", "Freight Details", "My Invoice", "e-Payment", "Internet B/L", "i-B/L", "i-Dispatch", "Arrival Notice", "Import Door Delivery Information", "Member Tracking", "Shipment Statistics", "Tracking Report", "Event Notification", and "EDI services".

(2) The REGISTRANT applying for "Internet B/L", "i-B/L", "Shipment Statistics" and "EDI services" should be the beneficial party who shows its company name on the Bill of Lading or has signed up the service contract/special quotation with carrier directly. Customs Brokers, Trucking Companies, House Freight Forwarders and other 3rd Party Logistics who have no direct contract with carriers are not applicable to E-commerce service.

(3) We provide single Web interface for multiple carriers and agents which include Evergreen Marine Corp. (Taiwan) Ltd, Evergreen Marine (UK) Ltd, Italia Marittima S.p.A, Evergreen Marine (Hong Kong) Ltd., Evergreen Marine (Singapore) Pte. Ltd., Evergreen Marine (Asia) Pte. Ltd., and Evergreen Shipping Agency (China) Co., Ltd.


Terms and Conditions of Accessing and Using of ShipmentLink Website
(hereinafter called the " Website")


FOR ACCESS AND USE OF THE WEBSITE, THE USER EXPRESSLY UNDERSTANDS AND AGREES AS FOLLOWS:

CONFIDENTIALITY AND NON-DISCLOSURE
1. The user agrees that:
(i) All information contained in the Website shall be used by the user solely for the purpose of business needs to Evergreen Marine Corp. (Taiwan) Ltd., Italia Marittima S.p.A., Evergreen Marine (UK) Ltd., Evergreen Marine (Hong Kong) Ltd., Evergreen Marine (Asia) Pte. Ltd. and Evergreen Marine (Singapore) Pte. Ltd. (hereinafter collectively called the "Evergreen Line", and individually called the "Carrier");
(ii) All Information contained in the Website shall remain at all times the property of Evergreen Line; and
(iii) Except as may be required by applicable law or legal process, the user shall not distribute, disclose, or disseminate such information to anyone, who does not have a need to know such information for the purpose for business to Evergreen Line, unless and until such time as:
  (a) Such information is generally available to the public other than as a result of a breach of this Terms and Conditions; or
  (b) Such information is already in the possession of the user or his/her/its employees prior to access to the Website; or
  (c) Such information is or has been lawfully disclosed to the user or his/her/its employees by a third party, not employed by or otherwise affiliated with the user, who is free lawfully to disclose the same; or
  (d) Such information is lawfully required to be disclosed to any governmental agency or is otherwise required to be disclosed by law; provided, however, that before making such disclosure, the user shall give Carrier an adequate opportunity to interpose an objection and/or to take action to assure confidential handling of such information.
2. The user warrants that he/she/it will apply reasonable safeguards against the unauthorized disclosure of the information contained in the Website and agrees to protect such information in the same manner and to the same degree that the user protects his/her/its own confidential and proprietary information.
3. The user further agrees that he/she/it will not give any employee access to such information until and unless the user has ensured that such employee is aware of the obligations of this Terms and Conditions and has agreed to maintain the confidentiality of such information as required hereunder. The breach of the Terms and Conditions by the user's employees will be deemed as the breach of the Terms and Conditions by the user.
4. The user agrees that monetary damages would not be a sufficient remedy for any breach of this Terms and Conditions, and that Carrier shall be entitled to seek injunctive or other equitable relief to remedy or prevent any breach or threatened breach of this Terms and Conditions by the user or persons under the user's direction or control (including but not limited to employees). Such remedy shall not be the exclusive remedy for any breach of this Terms and Conditions, but shall be in addition to all other rights and remedies available at law or in equity.

DISCLAIMER
5. The information provided in the Website is believed to be accurate, however Carrier does not make any guarantee as to the accuracy or correctness of any information included in the Website. The user understands that, all of the Website's contents, including but not limited to the information, products and services contained or referred in the Website are subject to change or update at any time without prior notice.
6. All information presented in the Website is considered for information purposes only and does not constitute a legal contract between Carrier and the user unless otherwise specified.
7. Under no circumstance, including without limitation to, breach of contract, tort, negligence, or strict liability, shall Carrier or any of its affiliates, respective partners, officers, directors, employees, subsidiaries, agents or representatives of any kind (hereinafter collectively called " the related parties") be responsible for any damage, loss, including but not limited to lost revenues, lost profits, error, omission, inaccuracy, or misuse, whatsoever direct, indirect, consequential, incidental, arising from or in connection with the use, in reliance on, or performance of any data or information provided in or delivered from the Website.
8. The user assumes total responsibility and sole risk for his/her/its use of the Website.
9. Carrier makes no warranties or representations that the use of the services or materials displayed on the Website will not infringe rights of third parties.

REVISION
10. While Carrier may from time to time revise the Terms and Conditions, the user is bound by such revisions and should therefore periodically visit the Website to review the updated Terms and Conditions.

CONFLICT
11. In case of any conflict between the Terms and Conditions herein or any service information in the Website and the information contained in the applicable Carrier's internal documentation/agreement, the internal documentation/agreement will prevail.
12. Neither Carrier nor any of the related parties assumes or accepts any responsibility whatsoever and bears no liability for any damages to or viruses or other items of destructive nature that may infect the user's computer, software, hardware, systems or other property on account of the user's accessing, using and/or browsing the Website and any of its services or downloading of any material, data, text, image and whatsoever from the Website.
13. Carrier assumes no responsibility, and shall not be liable for any loss, damage or whatsoever due to the third party's unjustified access to the Website or to passwords data or information in the Website.

INTELLECTUAL PROPERTY RIGHTS
14. Unless otherwise specified in the Website, Carrier retains any/all title(s), right(s), profit(s) and interest(s) of the Website's contents, including but not limited to text, photographs, images, domains, sub-domains, trademarks, logos, or any other intellectual property rights, moral rights and similar benefits of any type in connection with the Website and the services offered.
15. Except as strictly provided or permitted in the Terms and Conditions, any act in respect of the reproduction out of any data or contents provided from the Website, or other copying, redistribution, publication or retransmission of any portion of the material of the Website is forbidden without express written permission or consent of Carrier.
16. While the Website may contain other proprietary notices and copyright information, the Terms and Conditions of which have to be obeyed and followed by the user.

17. The links in the Website allows other sites to be accessed. Such linked sites are not under the control of Carrier, and Carrier bears no liability to the contents of these sites. Carrier makes no warranty or representation whatsoever pertaining to any other Websites the user may access through the Website or which the user may use or access to such Websites and any of its services. While the user accesses a non-Carrier's Website, the user understands that it is independent from Carrier.
18. The Website provides links only as a convenience, and such inclusion of any link does not imply endorsement by Carrier. The user may take precautions to ensure that the use is free of viruses and other items of destructive nature.

PRICE INFORMATION
19.
The Carrier/Evergreen Line has offered a Commitment to the European Commission's Directorate General for Competition and it is generally agreed that any price related information shall not be announced unless it meets certain specific conditions set out in the Commitment. According to the aforementioned Commitment, bilateral negotiations may be exempted from the Commitment specific conditions. To obtain the applicable freight price information, users may contact our local sales agents via the local sales window in order to obtain the final price offer and agree through negotiations the applicable price.

Logging in e-commerce of this Website will be regarded as providing users' consent to access the initial portal of the Carrier's price related information platform for the purposes of conducting bilateral price negotiations. The user undertakes to inform the Carrier if the user is working for the Carrier's competitors. Any application for the Carrier's price related information from competitors of the Carrier shall be rejected.

INDEMNIFICATION
20. The user agrees to indemnify, defend and hold Carrier and the related parties harmless from and against any and all liability, demands, judgments, costs, expenses (including, without limitation, reasonable attorneys' fees), losses and damages (including, without limitation, punitive damages) incurred or suffered by Carrier or the related parties and arising from or in connection with the user's breach of any his/her/its representations, warranties, covenant or obligations provided in this Terms and Conditions or the user's using of the information contained in the Website that results in any damages or losses of any third party.

GOVERNING LAW AND JURISDICTION
21. While the functionality of the Website is used, the booking, B/L instruction, Internet B/L and carriage shall be governed by and construed according to the terms and conditions of Carrier's Bill of Lading/Seaway Bill, including the governing law and jurisdiction clauses.
22. The Website as well as the Terms and Conditions herein shall be subject to the laws of Taiwan. The user agrees that any claim or cause of action arising out of the use of the service in the Website or related to the Terms and Conditions herein, must be filed within one (1) year after such claim or cause of action arose or be forever barred.
23. The user expressly waives any right he/she/it may otherwise have under any statue or law. Any dispute, claim, argument, and any other controversy arising from or in any way related to the Website, including the Terms and Conditions, shall be submitted to the exclusive jurisdiction of Taipei District Court of Taiwan.

We may create Personal Data about you in certain circumstances, such as records of your communications with us, including interviews in the course applying for a job with us. We may record telephone calls, meetings and other interaction in which you are involved, in accordance with Applicable Laws. We may also combine Personal Data from any of our Sites, Apps, or services, including where those data are collected from different devices.

With aim to improve and promote use of Sites, Apps and other Services, we may aggregate or otherwise strip information derived from your Personal Data, but such aggregated data does not directly or indirectly reveal your identity. For example, we may aggregate your usage data to calculate the percentage of users accessing a specific Site feature. The purposes for which we collect and Process your Personal Data are as follows:

  • Provision of shipping services:
    • To execute the shipping instructions for the transportation of goods from one place to another;
    • To design and provide customized services upon your request;
    • To facilitate the exchange of shipping information;
    • To provide customer with the on-time shipping information, e.g. vessel schedule and container status.
  • Operating our business:
    • To provide, operate and manage our Sites, Apps, and services;
    • To provide content and display and advertise and other information to you;
    • To improve service operations, solve your problems and drive our sales growth;
    • To identify issue with and plan improvements to our Sites, Apps, and services;
    • To create new Sites, Apps, and services;
    • To apply analytics to business operations and data to describe, predict and improve business performance;
    • To notify you of changes to any of our Sites, Apps, and services.
  • Communications and marketing:
    • To communicate and interact with you via our Sites, Apps, and services or other means (including via email, telephone, text message, social media, post or in person) to recommend new services, corporate news and events which you may be interested (subject to obtaining privacy preferences you have expressed to the extent required under Applicable Laws);
    • To maintain and update your contact information where appropriate;
    • To obtain your prior, opt-in consent where required;
    • To record telephone calls, meetings, depositions and other interactions in which you are involved, in accordance with Applicable Laws.
  • Security management:
    • To manage and operate our communications, IT and security systems; and audits (including security audits) and monitoring of such systems;
    • To ensure the physical security of our premises (including records of visits to our premises); CCTV recordings; and electronic security (including such us login records and access details).
  • Financial management:
    • For sales and finance arrangement;
    • For corporate audit;
    • For vendor management.
  • Surveys: to engage with you for the purposes of obtaining your views on our Sites, Apps, or services.
  • Investigations:
    • To gather, analyze and collate evidence and materials;
    • To create and maintain recordings of telephone calls, meetings, depositions and other interactions, in accordance with law;
    • To detect, investigate, report and prevent violation of laws/ regulations, Privacy Policy, our Code of Conduct or other policies issued by us.
  • Litigation management:
    • To establish facts and claims, including collection, review and production of documents, facts, evidence, and witness statements;
    • To exercise and defend legal rights and claims, including formal legal proceedings;
    • To enforce a judgment.
  • Legal Compliance:
    • To comply with our legal and regulatory obligations under Applicable Laws (e.g. anti-corruption, due diligence, sanctions, or conflict of interest);

    • To screen against government and/or law enforcement agency sanctions lists and other legal restrictions;
    • To fight against fraud and illicit traffic.

We may disclose your Personal Data within Evergreen Line, for legitimate business purpose, in accordance with Applicable Laws. In addition, we may disclose your Personal Data to:

  • You and, where appropriate, your appointed representatives;
  • Our subcontractors, such as trucking companies, terminals, depots and feeder companies, which perform tasks on our behalf and under our instruction, to provide you with the transportation services and to perform the contract of carriage;
  • Legal and regulatory authorities, upon request, or for the purposes of customs and tax clearance, security screening with certain shipment data, or reporting any actual or suspected breach of Applicable Laws;
  • Accountants, auditors, consultants, lawyers and other outside professional advisors to Evergreen Line, subject to binding contractual obligations of confidentiality;
  • Any relevant party, regulatory body, governmental authority, law enforcement agency or court, to the extent necessary for the establishment, exercise or defense of legal rights;
  • Any relevant party for the purpose of prevention, investigation, detection or prosecution of criminal offences or the execution of criminal penalties;
  • Any relevant third-party acquirer(s), in the event that we sell or transfer all or any portion of our business or assets (including in the event of a reorganization, dissolution or liquidation); and
  • Any relevant third-party provider, where our Sites and Apps use third party advertising, plugins or content. Please note that if you choose to interact with any such advertising, plugins or content, your Personal Data may be shared with the relevant third-party provider. We recommend that you review that third party's privacy policy before interacting with its advertising, plugins or content.

If we engage Processor to Process your Personal Data, the Processor will be subject to binding contractual obligations to: (i) only Process the Personal Data in accordance with our prior written instructions, and (ii) use appropriate technical or organizational measures to protect the confidentiality and integrity of the Personal Data, together with any additional requirements under Applicable Laws.

Given the global nature of our business, we may internationally transfer your Personal Data within Evergreen Line and the third parties as noted in Clause 9 above, in connection with the purposes set out herein. For this reason, we may transfer your Personal Data to other countries that may have different laws and data protection compliance requirements to those that apply in the country you are located.

If an exemption or derogation applies (e.g. where a transfer is necessary to establish, exercise or defend a legal claim), we may rely on that exemption or derogation, as appropriate. Where no exemption or derogation applies, and we shall transfer your Personal Data from the EEA or the UK to recipients outside the EEA or the UK who are not in Adequate Jurisdictions on the basis of Standard Contractual Clauses. However, please note that when you transfer any Personal Data directly to our entity established outside the EEA, we are not responsible for that transfer of your Personal Data (and such transfer is not based on or protected by our Standard Contractual Clauses), such transfer will take place in accordance with the appropriate international data transfer mechanisms and safeguards.

We take every reasonable step to ensure that your Personal Data are only Processed for the minimum period necessary for the purposes set out in this Policy, unless a longer retention period is required or permitted by law. The criteria for determining the duration for which we will keep your personal data are as follows, whichever is longer:

  • We retain Personal Data in a form that permits identification only for as long as we have an ongoing relationship with you or your Personal Data is necessary in connection with the purposes set out in this Policy;
  • We retain Personal Data for the duration of any period under Applicable Laws or necessary to establish, exercise or defend any legal rights, whichever is longer.

We establish, record, implement and maintain an information security management system in accordance with the requirements of the ISO/IEC 27001 standard, and adopt a "Plan-Do-Check-Act" (PDCA) cycle to continuously improve the effectiveness of the system. We have obtained ISO 27001 information security management system certification.
