State and Provincial Securities Regulators Announce Multi-Million Dollar Settlement Terms with Josip Heit, GS Partners, and its Affiliates

NASAA announced today that a working group of state securities regulators has reached a muti-million-dollar settlement with GSB Gold Standard Corporation AG, a company based in Germany that purportedly operates in the fintech and banking industries, and GSB Gold Standard Bank LTD, more commonly known as “GS Partners.” The settlement also names Josip Heit, the principal and Chairman of the Board of GS Partners, and other affiliated organizations that are often collectively known as the “GSB Group.”

NASAA Seeks Public Comment on Proposed NASAA Model Franchise Broker Registration Act

NASAA is seeking public comment on a proposed NASAA Model Franchise Broker Registration Act (Franchise Broker Act). The proposed model act is posted on the NASAA website with instructions to the public on how to submit comments. The deadline for submitting comments is June 7, 2024. Following the public comment process, the model act may be submitted to the NASAA membership for approval.

NASAA Members Approve Amendments For Two Model Rules

NASAA announced that at a membership meeting today NASAA members have voted to adopt amendments to two NASAA Model Rules. NASAA amended its Model Rule Exempting Certain Merger & Acquisition Brokers (“M&A Broker Rule”) From Registration by revising it to achieve uniformity with federal law, specifically the amendments to subsection 15(b)(13) of the Securities Exchange Act of 1934 to exempt certain M&A Brokers from broker-dealer registration. NASAA also amended its Model Rule: Examination Requirements for Investment Adviser Representatives (IAR Examination Requirements Model Rule), by updating the list of eligible professional certifications that can be used to exempt individuals from examination requirements.
