I’ve been warning about the implications of the takeover of what feels like all security companies by private equity firms in recent posts. Here is another concern for any company incorporated in Delaware. “If SB 313 becomes law, I and thousands of other business attorneys would need to advise founders of the new risk that their first major investor might require them to contractually sign away all control of their business.” Private equity firms are known for taking on excessive debt that can bankrupt companies, making choices based on quick returns vs long term viability or best interests of products and customers, and making moves that cause key employees to quit or be fired. How will this affect security products and services?
