The FTC ban on non-competes is big news indeed though I have to say I’m not surprised. Too many people came out against them for the FTC to ignore. This ruling will be challenged for sure. But if you haven’t started preparing for this potentially huge shift in the way departing employees are going to view this (as in “woohoo!!! I can take clients, customers and all the stuff I worked on with me when I go!”) please get started now. There are of course other ways to protect trade secrets, including with our #insurance! Add this to the SECs requirement that public companies disclose when a “material” asset is exfiltrated from the company and there seems little choice other than to determine which assets qualify as trade secrets before they walk out the door (then you can value them, apply proper measures commensurate with that value and let people know those assets are YOURS). The FTC says it “took seriously” the complaint from business but says there was no evidence that banning noncompetes harms trade secret protection. They rely heavily on the idea that California and Oklahoma have been able to protect trade secrets without noncompetes. The subtext was that they were calling my friend Erik W. Weibust bad names. I anticipate his rebuttal.
