One area your T&E lawyer will be helpful is with Rollover equity. Rollover equity is a common feature in M&A deals, particularly in situations where the buyer is a private equity firm. In a Rollover equity transaction, the Seller agrees to roll or, reinvest, a portion of their ownership stake in their company into the newly formed entity that will result from the acquisition.
