You use a REG D 506 C because the SEC allows you advertise, market and promote your offering using general solicitation to find accredited investors. Why? Because REG D 560 B requires you to have an established pre-existing business relationship with investors before you offer or sell them a security. Meaning you need to know the investors very well before asking and know he is qualified to invest in your offering and sophisticated enough to understand the risk.
