The future is diverse!! This excellent article from Osler's law firm provides some good news from the past year (nearly 30% of Board members of Cdn reporting issuers are now women 💃 ), as well as some insights into the future of Canadian governance (based on proposed Canadian securities guidelines, as well as governance advances in the U.K.). 🔎 Recent U.K. court decisions have also confirmed the "Business Judgement Rule", i.e., that courts will be deferential to the business decisions made by boards in good faith on an informed basis. So how do the courts know if the board acted in good faith and on an informed basis? The minutes of the Board meetings are "prima facie" evidence of the Board's deliberations. Governance professionals, make sure your minutes record "how" the board came to its decisions (including both the types of information presented and the challenges that the board made to this information)!! ⚖

When affected by international projects, communities often turn to Independent Accountability Mechanisms as a last resort, hoping to even the odds stacked against them. However, impartiality can present significant challenges, as it may not always level the playing field. In my latest blog, I shed light on the limitations of strict impartiality within accountability mechanisms and call for a shift towards a more community-centred approach. I also highlight examples from other mechanisms where impartiality hampered the objectives of these processes. Hello all and happy new year. As promised, I am bringing back #thoughtsonesg and this time will make it more regular again! Otherwise, for this 14th edition I wanted to pay tribute to my father, The Hon. Andrew Rogers, QC, who passed away a couple of days ago as to me he embodied what #esg was all about for corporations: responsible business. Responsible business is a wide concept and those of us who practice in the area all have our own way of impacting that. As Michael Pelly’s kind obituary in The Australian Financial Review notes (https://lnkd.in/g2cfZ7sp), Andrew’s way was in commercial litigation, where he redefined the law relating to directors’ duties and peircing the corporate veil, but moreover changed the court procedures that apply in commercial cases forever. The reforms he introduced as a judge of the Supreme Court of New South Wales here in Australia were later implemented across the country and in jurisdictions abroad, across all manner of dispute resolution. Andrew said that the community deserved commercial litigants to have efficient and equitable justice, not just to save time and money, but for society to function in its best way. He insisted on approaches and timelines in his court that sought to make sure of this. He delivered practical and just outcomes in the process that met the needs of a case while still applying the rigour of legal principle and precedent. As I remember him, I think his message would be for all those in dispute on whatever matter to properly think of the consequences when they plunge in, particulalry on their stakeholders or others. One might conclude this could be said for any corporate action and shows that decision making in responsible business is at the centre of sustainability. He would also say don’t be scared of reform, even in the face of the most staunch opposition. You may run into resistance, but if it is necessary for sustainability’s sake you can wear your efforts with a badge of pride. Vale Andrew.
