Are taxpayers and shareholders OK with supporting organizations fight to exclude? Organizations both public and private have publicly identified that inclusion and accessibility is a priority and publish mandates/plans and strategies. Yet when an individual identifies a barrier, the organization vehemently denies and defends up to and including use of legal council. I guess it may be easier when it is not your money. However have those that seek legal council to prevent barriers from being identified asked those that provide the funds (taxpayers/public and shareholders/private) if that is the way they want their funds stewarded? I posted this internally and received this as a response: Western culture (and other cultures) are too wedded to the notion of hierarchical power structures. The culture itself demands a strong defense against criticism, so strong that it validates legal defense expenditure over a comparable or cheaper pay out that actually solves the issue. Is it that simple that those in power see the identification of equity barriers as criticism, and that incurring costs for those that provide them funds is preferable than accepting actively listening and acting? Hello all and happy new year. As promised, I am bringing back #thoughtsonesg and this time will make it more regular again! Otherwise, for this 14th edition I wanted to pay tribute to my father, The Hon. Andrew Rogers, QC, who passed away a couple of days ago as to me he embodied what #esg was all about for corporations: responsible business. Responsible business is a wide concept and those of us who practice in the area all have our own way of impacting that. As Michael Pelly’s kind obituary in The Australian Financial Review notes (https://lnkd.in/g2cfZ7sp), Andrew’s way was in commercial litigation, where he redefined the law relating to directors’ duties and peircing the corporate veil, but moreover changed the court procedures that apply in commercial cases forever. The reforms he introduced as a judge of the Supreme Court of New South Wales here in Australia were later implemented across the country and in jurisdictions abroad, across all manner of dispute resolution. Andrew said that the community deserved commercial litigants to have efficient and equitable justice, not just to save time and money, but for society to function in its best way. He insisted on approaches and timelines in his court that sought to make sure of this. He delivered practical and just outcomes in the process that met the needs of a case while still applying the rigour of legal principle and precedent. As I remember him, I think his message would be for all those in dispute on whatever matter to properly think of the consequences when they plunge in, particulalry on their stakeholders or others. One might conclude this could be said for any corporate action and shows that decision making in responsible business is at the centre of sustainability. He would also say don’t be scared of reform, even in the face of the most staunch opposition. You may run into resistance, but if it is necessary for sustainability’s sake you can wear your efforts with a badge of pride. Vale Andrew. The intricate fabric of Kenya’s governance unravels through a delicate dance of delegated powers and responsibilities, inviting us to understand the carefully crafted orchestration envisioned by the 2010 Constitution. we journey into this narrative driven by the common observation that many Kenyans still grapple with the essence of our constitutional design. At its core, the Constitution acknowledges sovereignty of the people, as articulated in Article 1: "All sovereign power belongs to the people of Kenya and shall be exercised only in accordance with this Constitution." This fundamental principle echoes a simple truth: power resides with the Kenyan populace, a power we collectively wield. In a resounding show of consensus, the Constitution was embraced by a massive 68.6% of the voting populace on the historic day; August 5th, 2010. Yet, recognizing the practical impossibility of individuals managing the full spectrum of sovereign responsibilities from education and healthcare to security and development amongst many more, the Constitution elegantly delegates these powers. It bequeaths them to the three pillars of governance: the executive, the legislative, and the Judiciary, freeing the sovereign to focus on personal pursuits. The presidency emerges as a focal point, entrusted with significant executive powers as the head of state. The judicial arm of the government is bestowed powers to discipline and pass judgements, concurrently, legislative powers find their home in the National Assembly playing a pivotal role in shaping our legal landscape. Further decentralization unfolds as executive powers find resonance in the hands of Governors, charged with stewarding county affairs. This web of delegated authority extends even deeper, requiring the president to entrust key responsibilities to independent figures like the Chief of Defence Forces, and the Inspector General, among others, all under the banner of the national government. Within this framework, ministers are appointed to navigate the daily governance, while an independent Public Service Commission takes charge of human resource management, ensuring the wheels of administration turn smoothly. Members of the national, senate, and county assemblies step into their roles with delegated powers to legislate, investigate, and vet nominees, acting as guardians of public interest. The National Assembly, in particular, assumes the mantle of governmental oversight, while the Senate diligently tends to matters spanning all counties and devolution. Simultaneously, county assemblies meticulously craft legislation and uphold checks and balances within their specific county jurisdictions. These stewards of delegated responsibility, drawn from the public they serve, bear a solemn duty to honorably discharge their duties. They are entrusted not only to serve their nation but also to serve with integrity, mindful that the privilege of delegation is a fragile covenant that demands unwavering fidelity.
