BASIC STRUCTURE OF A CONTRACT (using Avengers Endgame Context for ease of understanding) INTRODUCTION - The world,a company is the First party and Avengers, superheroes, Second Party are executing this contract RECITALS - The world wishes to retain infinity stones, and Avengers are in the business off retaining such stones hence the contract REPRESENTATION AND WARRANTIES - both parties represent they can enter this contract,avengers warrant they will retain the stones from thanos, world warrants it shall title them as "saviors" if they retain it TERMS - Terms of contract, what avengers will do, how will they fight thanos, what if anyone dies in the fight etc TERMINATION - both parties may terminate the contract after serving a 30 day advance notice, (which seems an easy option than facing Thanos but who am I to judge) INDEMNITY (LIABILITY) - Avengers indemnify the people that Hulk shall not destroy public property in rage, if he does Tony Stark on their behalf shall indemnify the said family CONFIDENTIALITY - Avengers shall keep the knowledge of infinity stones within them confidential so Loki does not steal them FORCE MAJEURE - No parties shall be liable for damages in case Thor causes thunderbolts and extreme rain, making it difficult to fight or spiderman falls sick because the spider that bit him gave him a deadly virus rather than a superpower DISPUTE RESOLUTION - In case of a dispute Avengers shall not blow up the people or people would threaten them with a legal notice to drag in court but settle the matter via arbitration JURISDICTION - in case of any disputes courts in Narnia shall have jurisdiction for all battles and wars (Yes people were there in Narnia as well why not Narnia?) #contractdrafting #contractlaw #lawyersoflinkedin #legaleducation #legaladvice #legalinsights #lawstudent #lawyer #legaltips #legalcommunity
