On 4 March, Companies House published a Stakeholder Newsletter confirming that the first measures under the Economic Crime and Corporate Transparency Act 2023 (“ECCT Act”) came into force on that day. These include: greater powers to query information and request supporting evidence stronger checks on company names new rules for registered office addresses. All companies must have an appropriate address at all times. They will not be able to use a PO Box as their registered office address a requirement for all companies to supply a registered email address a requirement for subscribers to confirm they’re forming a company for a lawful purpose when they incorporate, and for a company to confirm its intended future activities will be lawful on its confirmation statement greater powers to tackle and remove factually inaccurate information the ability to share data with other government departments and law enforcement agencies. A brief, useful overview of the recent ruling.

There has been a ton of confusion lately surrounding the new Corporate Transparency Act. Thoughts and opinions are all across the board. I think there are valid concerns about government overreach and questioning whether it will even accomplish its goal to combat money laundering, tax fraud, and terrorism. Either way, it's here and many need to deal with it. The question that I have heard most often so far is "I have a single member LLC, this doesn't apply to me, right?" Unfortunately, that is not the case. This law specifically targets small companies, even single member LLCs and simple real estate holding companies. These companies must now file a report with the federal government providing information about the company, certain owners, and those with "substantial control." Although the report itself is not complicated, there are nuances with the law that must be carefully considered. Particularly, there are stringent deadlines and ongoing updating requirements. The penalties for failing to report (or incorrectly reporting) can be significant. The law authorizes a maximum civil penalty of $500.00 per day (up to $10,000.00) and a maximum criminal penalty of imprisonment of up to two years. With those serious consequences, it's important to make sure it's done right.
