You will become a member of a growing Legal Team in a novel FinTech company that has been a unicorn for several years. Your day-to-day: You will work cross-functionally with the product development, marketing, compliance, finance, operations, and Partnership/Business Development teams to structure, draft and negotiate a wide variety of contracts so that they are compliant with legal, regulatory, compliance and company policies and risk tolerances. For example, the types of contracts you will negotiate and revise include Marketing Services Agreements, Insertion Orders, SaaS development agreements, Partnership Agreements, vendor agreements and advertising/commercial development agreements. You will also draft and provide legal/regulatory review of Sweepstakes and Contest Rules, and marketing disclaimers and disclosures. You will work with the Partnership/Business Development Team to help negotiate with Banks and Credit Unions regarding our template Master Referral Agreements. Who you are: 5+ years of legal experience as a commercial transactional legal counsel, with at least 3+ years of law firm experience Be comfortable working in a fast-paced environment with priorities that are constantly changing Be a utility player who is able to negotiate a wide variety of legal contracts covering a diverse array of legal issues on a daily basis, and be comfortable rolling up your sleeves to negotiate contracts in new and unfamiliar areas of law as the Company explores new products and services to offer our Greenlight families. Ability to work independently, juggle multiple projects at a time, and learn how to prioritize activities by level of importance to the organization. Experience working with SaaS providers or with social media companies and other direct to consumer marketing channels is desirable but not required. Andrew is absolutely on point here, I would add not just in fintech but any industry that is moderately to heavily regulated. One of the best things that law schools provide to their students is the ability to think critically and from a variety of perspectives. The ability to understand different viewpoints and argue meaningfully from those views while anticipating responses and defenses, this skill when understood from its principles is a skill of assessing risk and understanding possibilities into probabilities of a given set of actions or positions. A good General Counsel takes this skill one step further and can develop a hierarchy of priorities based on the risks present now and that will in all probability develop in the future. They then can address and minimize those risks. I've seen this many times in my career from amazing mentors like Sharyn Alcaraz. It reminds me of an ancient Buddhist and Hindu metaphor of a chariot, charioteer and the rider. While it is usually used to describe the nature of the mind, intellect, senses and passions, it can be applied to a company. The Executive is the rider, who determines the goal or location they want to go to, the horses are the business engines that get you there, the chariot itself is the company and the charioteer is the the General Counsel, they advise you on the best means to get to the location, see the bumps in the road, avoid them and can maneuver you to the least turbulent path. It is also that the General Counsel is not just a yes-person, rather they need to challenge you on your strategies, tactics and goals to make sure it is robust, as ethical as possible, is focused on the progress and stability of the company, is refined through the fire of discussion and finally provide support and defense when you need it. They might not be a initial or core hire but they will soon become a vital one as you grow.
Most companies don’t prioritize hiring a general counsel until they’ve learned the hard way. Don’t do that. Especially if you are a fintech company. The role of general counsel is misunderstood by the startup community. Yes, of course, a general counsel is supposed to be able to manage a company’s legal affairs, which ranges from contracts, to regulatory matters, to deals, to potentially litigation. But first and foremost, a general counsel is a key executive at a company and a partner to the CEO. To dramatically simplify, founders should think about the role as something akin to a “consigliere” in the Godfather movies. A good GC helps you make important decisions by considering big issues and downsides strategically, with a view to the long-term. The GC is also your chief defender and enforcer in lots of important ways. They help you manage your board of directors, they almost always get pulled into deal with major problems with partners or customers, and they have the ability to dive in and grapple with many issues of significance that I’d broadly label as “downside” issues – which is important when founders really need to spend their time focusing on growth and building their businesses. You’re likely not going to realize you need a GC until it’s too late. But you also shouldn’t hire one prematurely. This executive hire is extremely costly (>$300k cash), and you’re probably not going to be able to afford one until you raise a Series B. Scale is important for the role to be worthwhile. You also should not hire someone because you just want a good lawyer on your team – if you have a lot of legal issues earlier on, it can make a lot of sense to hire a younger attorney as a director of legal, so that you can hire a more senior leader later on when the challenges evolve. I encourage all founders to spend some time thinking about when they should hire a GC – it’s a hire that really can de-risk a lot of things for a company that has achieved early success, and a great one helps you dramatically improve how you spend your time, so that you can focus on growing and not on putting out fires.
