Sympathetic to legal formalism? Skeptical of class-action waivers, forced arbitration, online contracting, or adhesion contracts? Hot off SSRN, Profs. Zipurski and Takhshid's latest piece has something for everyone. Highly recommend. The key move is a narrow (and, I'm persuaded, correct) reading of AT&T v. Concepcion and the FAA to bar state-law "unconscionability" doctrines that are really antiarbitration public-policy arguments in disguise, but to leave in place true unconscionability arguments based on the conscience-shocking nature of a particular set of contracting parties.
