New Guidelines for mergers and acquisitions in Pakistan The Securities and Exchange Commission of Pakistan (SECP) has lately issued the updated Guidelines on Mergers and Amalgamations (also acquisitions) of companies in Pakistan. It is a useful document issued by the regulator which contains broad information on major aspects of an M&A transaction. In particular, the Guidelines provide information on material aspects of an M&A transaction including scheme of arrangement; requisite corporate approvals of the Board and shareholders; creditors’ role; requirements of stock exchange for listed companies; distinct processes of approval by High Court for large companies and by SECP for small companies and corporate SOEs; post M&A matters; and filings and fees. #pakistan #laws #securitiesandexchangecommission #mergersandacquisitions
