Starbucks' general counsel wants you to know that corporate boards generally aren't happy to hear from outside counsel about government investigations. In other news, water is wet. ;-) But the principal point in this article is true--those clients want to know the solution. They don't need to know how the arcane area of the law evolved or how you'll fight tooth-and-nail with DOJ or the state AG. The board wants to resolve this investigation, but it also needs to think about the possible derivative suit waiting in the wings. [While this article discusses government investigations, the lawyers' comments probably apply to litigation generally.] “What they want to hear from counsel, even under the worst of circumstances, is not sort of an insight into the nuances of the law or procedural strategies that may be available to the company,” he said. “They want to know how is this going to end.” “Outside counsel need to keep in mind that the board is immediately wondering, ‘did we miss something?’” [Brad Lerman of Starbucks] said. “‘Did we have the right oversight? Hello I thought it was about time I provided an update of what we’ve been up to at Chamberlain Hamnett over recent months. When we set up the business a few years ago, Andrew Chamberlain and I were clear about the type of work we wanted to do: work which is high stakes, complex, sensitive, and important to the client. Although I will never feel as though we have accomplished the mission completely (it’s just not in my nature, I’m afraid!) when I look back over the recent period and the matters we have been involved in, even I can see that we have made some good progress! On the employment/disputes front, we have been involved in wide range of fantastic work, including workplace investigations, shareholder disputes, mediation work, the speedy trial of an employee competition dispute, dealing with bonus claims, and handling numerous instructions in relation to the employment of senior executives (and their departures). In the latter case, we’ve have been ably assisted by our very own Emma Greenwood who has taken a lead on the equity elements when they’ve arisen, as well as handling her own portfolio of transactional work. More on that, from Emma in due course… We have been fortunate to work with some hugely talented people outside of CH in delivering this work, including former colleagues at Addleshaw Goddard and Osborne Clarke, together with others at CMS, Land Law LLP, Littleton Chambers and Fountain Court Chambers – thank you, all. On a personal note, I have had the opportunity to spend some time with Justine Delroy (please read her recent posts if you haven’t already) who, as many of you reading this will know, has something of a battle on her hands. She remains a superstar even in that, and an inspiration to me, and it has certainly not stopped the two of us from laughing like we have always done, and taking the best that New York City could throw at us, in our stride. We have a number of interesting mandates on at the moment and a few meetings lined up over the next couple of weeks where we hope to be able to work with old friends in new businesses, sometimes in collaboration with others. That said, given that it is not “mission accomplished”, we would love to hear from you if you think we might be able to help you or your business.
