I was very honored to speak during my teaching assignment at the Albert-Ludwigs-University in Freiburg im Breisgau/ MBA (International Taxation) program about the topic "International M&A" (Internationaler Unternehmenskauf). We covered inter alia the topics: 1) "Introduction into International M&A" (including process of a transaction, substance in international taxation, impacts of Pillar 2 for M&A transactions, allocation of expenses to ancilliary acquisition costs, deferred expenses and tax deductible expenses etc.), 2) "Inbound" (holding structure, debt push down opportunities, learnings from TDDs performed etc.) and 3) "Outbound" (CFC, corresponding principle (Sec. 8b Para. 1 Sent. 2 G-CITA) etc.). 🌍 Will the Global Minimum Tax Transform Special Economic Zones? The Global Minimum Tax (GMT) is set to reshape how countries use special economic zones (SEZs) to attract investment. These zones have traditionally enticed businesses with tax incentives that may be rendered ineffective under the GMT’s mandated 15% minimum tax for in-scope multinationals. The #GlobalMinimumTax (GMT) is expected to have a significant impact on #MultiNationalEnterprises. A recent analysis by the #OECD has shown that implementing the GMT will lead to a decrease of approximately 80% in #global #LowTaxed profit, reducing it from 36% to around 7% of all global profit. The decrease is mainly due to the reduction of profit shifting, implementation of top-up taxes, and substance-based income exclusion, predominantly in #investmenthubs. The analysis also estimates that shifted profit will fall by half, benefiting developing countries. Differences in taxation between jurisdictions are expected to reduce by about 30%, leading to non-tax factors playing a more significant role in investment decisions and better global capital allocation. Overall, the GMT is predicted to raise additional CIT revenues of USD 155-192 billion globally each year, with one-third of these gains coming from reduced profit shifting. The distribution of these gains will vary across jurisdictions based on their implementation strategies and multinational companies' responses.
