I believe that we are at an interesting time for shareholder activism. Established activists have gotten larger and more successful and have continued to attract investors. Read what David A. Katz at Wachtell, Lipton, Rosen & Katz has to say on shareholder activism and engagement in our September 2024 issue roundtable: https://lnkd.in/exf3zwER #shareholderactivism

Chief Investment Officer ⧫ Strategic & Risk Leader ⧫ Board Director ⧫ Committee Member ⧫ GAICD, FIAA ⧫ Passionate about high performance
Attended this really informative and challenging session today. Focus of the session was on climate related activism but was relevant to all forms of shareholder activism. Key insights for me were: 🔸 Climate impact investors will heighten their focus on plans to address physical risks on the basis that transition is not fast enough to prevent seriously adverse warming. 🔸 Activists are attracted by an immature practices in environment, social and governance dimensions. Especially true for impact investors focused on climate risks. 🔸 Actions a board can take are similar to the actions required to effectively govern the company: 🔻 ensure you have a credible culture, strategy & action plan. 🔻 engage with shareholders on qualitative matters of concern. 🔻 knowing the proxy advisers and their perspectives really well. 🔸 Practice outside in thinking. The world is a big place and myopic company centric views are not going to help you engage with others. 🔸 Stay out of political meme wars. Nobody really knows what Woke is, especially my demographic. 🔸 Not a good idea to take actions that affect the rights of shareholders. Even if they don't agree with an activists proposal they don't want to lose their rights to agitate for change (see Exxon).
Shareholder activism is transforming governance, and boards need to understand how to respond effectively. We are pleased to have Harriet Kater, Head of Impact at the Australasian Centre for Corporate Responsibility and Shane Murphy, Managing Director for FTI Consulting join us for our Sydney Directors’ Breakfast, where she will explore what attracts activists, the impact they have on boards and how managing activist relationships can strengthen your organisation in the long run. Don’t miss this excellent opportunity to learn about shareholder activism and build your confidence in managing an increasingly essential part of the governance landscape.
