In my last post, I highlighted the position of the Board, as custodians of Corporate governance in any organisation. In addition to the Board, another key custodian of Corporate Governance is the Company Secretary. The Company Secretary is responsible for ensuring the company's compliance with all applicable laws, and relevant governance policies and frameworks. Below are some of the key roles of Company secretaries, as it relates to Corporate governance: ✍ The Company Secretary ensures the Company's compliance with all applicable laws, including filings and documentations with relevant government authorities. ✍ The Company Secretary advises the Board on the legal and regulatory impact of its decisions, ensuring that all decisions are made in accordance with the law. ✍ Company Secretaries facilitate all Board and Board committee meetings. ✍ Company Secretaries may assist management and the Board in drafting policy documents, and memoranda, for effective decision making. The role of the Corporate Secretary has changed, and gone are the days of shuffling papers and filing forms. In the past, the role of the company secretary has been mostly limited to largely administrative tasks, such as taking the minutes at board meetings or producing reports for use at annual general meetings. Nowadays, companies are adopting roles as a Governance Director demonstrating that governance is not a purely administrative issue, but a key strategic pillar in the organization. Corporate secretaries are gatekeepers of good corporate governance who assess the organisation's actions or proposed actions and have the authority to refuse or prevent them if they present a legal or ethical risk. They are boundary spanners as they interact and communicate with different groups within and outside the organisation. They act as a bridge between the organisation and its various stakeholders. They also serve as the essential link in building and nurturing key relationships within the boardroom. Corporate secretaries are cops because they are responsible for ensuring compliance with laws and regulations, and they may also investigate potential legal issues and address them before they escalate. They are also the piping system as they function as the vital pathway through which important information circulates among the various stakeholders and individuals and connections that define and populate the boardroom. Corporate secretaries are the "invisible power behind the throne," they face the task of managing the delicate balance between maintaining a low-profile yet influential role supporting the board chairperson, while also skillfully addressing any issues regarding the performance of individual board members to ultimately enhance the overall effectiveness of the board. This involves handling difficult decisions, navigating complex situations, making thoughtful assessments, serving as trusted advisors and confidante, and upholding a strong sense of trust.

I have always believed the Company Secretary is a vital cog in an organization's Corporate Governance ecosystem. Those company secretaries I engage with, whether in-house or outsourced, in listed corporations, which I serve as an Independent Director, have demonstrated their invaluable support not only in compliance work but also in certain advisory roles.
