Had a great deal fall through today… It’s been agreed for months now, finance in place. Here’s how it broke down… So, we’ve got the finance in place with the bank, we were putting 30% into the deal and the bank 70% Buying the building also. Everything agreed and pretty much a few weeks out from completion then all of a sudden… She takes “tax” advice and they give her the advice that she’s to young to sell and that she’d only need to work for 4 years to get the sale money. This of course got her thinking and it made her change her mind on a sale, but here’s what’s wrong with that… She was selling for a reason of course, she’d been stressed with the business and all throughout the sale she’d reaffirmed that the sale was a must as she is done. Of course now it’s not happening and she will wait 4 years to sell it again, but what if it doesn’t sell in 4 years. What if the economy isn’t the same, what if the business isn’t performing as well? The way I see it is, this advisor has just lost his client out on 1 million pound all paid on day one. Only 10% tax and freedom to then go and live her life without all the stresses that come with her business. We have also spend 15-20k on legal costs, building valuations, bank costs in this process. Lessons learned and we already have a new deal lined up that if all goes well will be even bigger and better. Ever dreamt of selling your agency in an all-cash deal and cruising into retirement, no strings attached? Sounds dreamy, but the reality of selling a professional services firm is usually quite different. In my experience, what I’d call a “beach deal” is extremely rare. Professional services firms often carry significant risks due to their reliance on human capital and intangibles, which typically means deals come with a lot more "structure." You’re likely to encounter earn-outs, performance-based earn-backs, seller financing, equity compensation or rolled equity, transition periods, etc. Why? Because professional services firms are asset light, and unfortunately, their future cash-flows tend to be more speculative. This means that sellers often need to stay involved post-sale, either to ensure a smooth transition or to meet certain performance milestones. At the very least, they tend to still be tied to the business financially in some way via seller debt, equity or other structures. I share this in case it's the first time you might be hearing it, and to help you set realistic expectations about what an exit might look like if/when you get to that point in your journey. Instead of seeing an exit as a finish line, consider it the starting line of a new chapter. It goes without saying that planning ahead can help you de-risk the business, maximize value, and create more leverage for yourself to get better deal terms. Consider a broker who is new to the market and has no pipeline or experience; their effectiveness is likely to suffer in the first few months, even if they are extremely active and have lofty goals. What will help is a willingness to learn from best practices shared across the network. Selecting the appropriate product or product category will also have an impact on first-year earnings. SME cashflow products are generally much faster to process and payout, so they may be a better area to focus on for a new broker; however, if you are well connected in property circles, buy-to-let landlords are often willing to try a new broker. Taking all of the above into account, we estimate that the typical first-year earnings for someone working full-time (assuming no pipeline of deals) and new to the sector would be between £25,000 and £55,000. Of course, some partners will earn more or less, and once established in the first 12-24 months, the business should grow organically through referrals and recommendations. Full-time brokers who are active and effective can expect to earn £100k or more after 24 months. I took a phone call on Tuesday from a first time investment borrower asking for a quick synopsis of what my best pricing would be on a property he had just won at auction. I suggested the monthly interest rate would be 1.1% per month at which point he said another lender had offered him 0.9% per month. I told him to hang up on me immediately and get that offer credit backed as that rate wouldn't be beaten. He appreciated the honesty and as he was new to bridging finance asked if I would mind running through the rest of his offer. It turns out there was a 2.5% exit fee on there which hadn't been highlighted or explained to him! That meant that despite the monthly interest being higher our overall offer was slightly better. Now I have nothing against exit fee's I have charged them myself on many occasions, but I always run through all costs and fees involved my deals so the borrower understands all of the information and can make the best decision for them. Another Deal Bites the Dust Acquisition of a manufacturing business with owner-occupied real estate. Although it’s 2024, you still want to ask if any PPP or ERTC are juicing up the numbers for 2021-2022 as you recast your financials. Are they double counting prior year cash/tax incomes in the next year’s Q1 accrual income? Where was it uncovered? THE FOOTNOTES It uncovered double counting of over $500K in sales... Worse, the selling broker was pushing on my buyer to ‘just sign the deal’ with his ‘preferred lender’ because they ‘already understood the transaction and was approved.’ C’mon business brokers.
