🌞 $0.9mn/MW Valuation! Does Amperisol Renewables' Recent Solar Acquisition in Spain Align with Comparable Transactions? Indeed, it does. Here's a closer look: Amperisol Renewables acquired a 54.78 MW solar project in Southern Spain from Greening Group for $0.9mn/MW, with an expected COD within a year and a long-term corporate PPA. To substantiate this alignment, we refer to comparable transactions from the Enerdatics M&A database: -- In Oct'23, Allianz acquired a 300 MW portfolio from Grenergy at $0.9mn/MW. -- In Nov'23, Pontegadea bought a stake in a 220 MW portfolio from Repsol at $1.05mn/MW. We frequently hear about collaborations like EDF, Masdar (Abu Dhabi Future Energy Company) and Kowepo securing financing for 1.5 GW solar projects in Abu Dhabi, backed by 30-year PPAs with EWEC Global players from South Korea, France, and Japan regularly align with Middle Eastern giants like Masdar (Abu Dhabi Future Energy Company) & ACWA Power for transformative projects. But what about our own powerhouses—NTPC Limited, SJVN LIMITED, Solar Energy Corporation of India Limited ReNew Power, Adani Green Energy Ltd., Tata Power Renewable Energy Limited, Avaada Group, Aditya Birla Group, Jakson Group Jindal Steel & Power Ltd. ⚡| Actis acquires Enel Generación Perú and takes over one of Peru's largest diversified generation portfolios. The acquisition will see Actis take over a 2.2GW diversified energy generation platform in Peru, marking the 10th platform investment from Actis' flagship Energy 5 Fund, which represents US$6 billion of investible capital. Actis will gain access to a portfolio of 12 assets with one more under construction, which includes a market-leading renewables footprint comprising wind and solar assets as well as hydro and thermal assets. Actis plans to scale the platform and accelerate its renewables growth to capture market opportunities and drive the energy transition in Peru. The acquisition strengthens Actis’ energy portfolio in Latin America and follows the Actis Energy 5 Fund investments in Serena and Valia Energía in the region. The "green majors"- RWE, Enel Group, EDF, EDP Renewables, ENGIE, Iberdrola (and Avangrid), Ørsted, ACCIONA, ACWA Power, ACEN, The AES Corporation and Neoen- made significant progress on their renewable energy project pipelines in June 2024. Rystad Energy notes that projects totaling around 12.5 GW achieved new milestones. RWE was the most active player, with over 4.9 GW of project milestones reached. The largest update was RWE submitting an application for the 3 GW Dogger Bank South offshore wind project along with development partner Masdar (Abu Dhabi Future Energy Company). NOA has announced the successful acquisition of the Khauta Solar PV Facility, totaling 350 MW, from PNE AG. Situated near Welkom in the Free State, this acquisition bolsters NOA’s grid-secured assets to approximately 500MW, marking a significant advancement in its portfolio and progress towards a 5GW target. Scheduled for financial close and construction commencement by Q4 2024, the Khauta solar PV assets signify NOA’s commitment to expanding its renewable energy portfolio with the support of shareholder AIIM and other key stakeholders. Karel Cornelissen, CEO of NOA Group, emphasized the company’s scaling operations with $180 million in equity financing secured for development. He anticipates having around 450MW of renewable energy facilities under construction by the end of the year. EDP sells solar portfolio in Texas at $1.47mn/MW, representing an 18% premium over precedent transaction Deal: EDP Renewables has successfully offloaded an 80% stake in a 340 MW operational solar asset portfolio in the US, fetching $400 million. This sale translates to a notable $1.47mn/MW. Analogous Deal: Enerdatics highlights a comparable transaction: Invenergy's divestiture of an 80% interest in the 250 MW Samson I solar project to WEC Energy for $250mn, announced last year. Contrasting Metrics: While both deals involve assets with similar maturity, power sale agreements, and remaining contractual life, EDP's transaction stands out with an approximately 18% higher valuation compared to the Invenergy deal. Abu Dhabi National Energy Company PJSC (TAQA Group) will not be acquiring shares in Naturgy Energy Group SA (BME:NTGY), while Criteria Caixa SA will be looking for new options to support the Spanish utility. The state-controlled energy holding company of Abu Dhabi confirmed in a brief disclosure on Tuesday that discussions on the matter have ended without reaching an agreement. As unveiled in April, TAQA and CriteriaCaixa, being the main shareholder of the Spanish company, were discussing a potential partnership around Naturgy. TAQA said at the time that it was considering buying the Naturgy shares held by CVC and GIP. On Monday, CriteriaCaixa disclosed that talks had not led to an agreement but said it continues its commitment to be a long-term investor in Naturgy. According to a presentation from April, Naturgy has 17 GW of installed capacity of which 40% comes from renewable energies such as solar, wind and hydro. We have advised BNP Paribas and a syndicate of five international banks on a significant facility for Abu Dhabi Future Energy Company PJSC – Masdar.   This financing supports Masdar’s acquisition of a 49.99% stake in a portfolio of solar PV assets from Endesa, with an operating capacity of approximately 2 GW. Our team working on this landmark renewable energy transaction was led by Nick Pawson, Andrés Alfonso, and Jean Louis Neves Mandelli.
