Each year, we enroll approximately 40 professionals who possess an average of 3 - 6 years of deal experience. The program immerses emerging dealmakers into the life cycle of a deal using a case study method for teaching the key elements of sourcing, valuing, diligence, financing, negotiating, structuring/closing, integrating, and exiting a deal. Although it’s been a crazy few months for me, and I need a bit of a rest soon, I’m looking forward to next Tuesday’s (1/10) first complimentary case webinar that I’m doing under the Board Masterclass Programme offered by Institute of Singapore Chartered Accountants (ISCA) and SAC Capital Private Limited. This is the first of 6 monthly one-hour webinars. They are only open to those who sign up for the above Programme. They are from 7-8 pm. The reason why I’m doing this is to contribute to continuing education for directors. Each webinar will look at one case study which I edited and participants are sent the case and are expected to read it before they turn up. Each case covers substantially different issues and can be Singapore or overseas cases. I think cases are an excellent way to learn from real-life situations. The first case is on ecoWise. The issues to be discussed include how a proposed delay in results should be handled, authority of CEO and discharge of fiduciary duties, shareholder requisitions, resignation of IDs, suitability of directors, acquisitions and disposals including IPTs and major transactions, and the Catalist board and sponsors. I will spend 30 minutes summarizing the main events and issues, including sharing my perspective. Then we will open for participants to share their perspectives and ask questions.
