On June 9, 2015, the U.S. Court of Appeals for the D.C. Circuit, in its ruling in Pharm. Research & Mfrs. of Am. v. FTC, upheld the FTC’s expansion of HSR reporting requirements for pharmaceutical companies, and solidified the need for companies entering into licensing agreements in the industry to consider their HSR filing obligations and the implications for antitrust review.

January 16, 2014 (New York) – Global law firm Proskauer represented the RCS Capital Corporation (RCAP) in its entry into an agreement to acquire Cetera Financial Group, a leading independent broker-dealer headquartered in El Segundo, California from Lightyear Capital for $1.15 billion. As part of the agreement, Cetera and its subsidiaries will become part of RCAP’s retail advice platform. The transaction is expected to close later in 2014, subject to customary closing conditions.
