    Just because a term is market standard doesn’t mean you’ll get it. If you’re a small company, just redlining a term to standard on a vendor’s template won’t cut it. You might be under the vendor’s negotiation threshold or lack the leverage in the relationship. Which is why you’ve got to explain your redlines even if they really are obvious. Here’s some ways to build your bank of explanatory comments: ✏️ confer with your business partners to understand why certain terms make sense for your company’s business model ✏️ reference prior redlines from your company for ideas ✏️ save good explanations from counterparty’s ✏️ read a few texts on your agreement type. David Tollen’s book on tech contracts is fantastic ✏️ use Pincites’ default playbook with prewritten comments :) And document all of this in a playbook for the next person 😊

    Saw this post from a sales person today 🤣 Two issues here: (1) sales doesn't understand legal priorities, and (2) legal might be spending too much negotiating points that don't actually matter. As a legal team, what issues are you spending your time negotiating? And is it worth the lost time to revenue? (1) If you have no idea, start tracking trends in your negotiation patterns. Using a negotiation tool (like Pincites :), can help track this overtime. (2) If you do know, have you worked with partner business teams to verify whether these issues are worth the lost time? As a legal team, we sometimes negotiate issues that seem like they don't matter, such as: - Audits of customer usage / compliance - Process for objecting to a new subprocessor - Process for auditing the vendor (when they’ve already agreed to provide SOC 2 or similar third party audit reports) - Uptime SLAs (99.99 or 95%) Our recent webinar with Contract Nerds showed that only 11% (of 500+ respondents) shared their contract playbooks with sales. These topics should be in a sales-facing playbook. This (a) helps sales flag these for customers early on and (a) allows sales to understand why and when delays happen in the deal cycle. It's also a chance to align with partner teams on priorities in advance.
