New York Angels has been the leading seed investment organization in NYC since 2004, with members investing over $112 million into more than 270 exciting startup companies. Angel Capital Association Board Member and Chair Emeritus Marcia Dawood spoke to the U.S. Innovation Tax Team to incentivize both angel investors and entrepreneurs to continue to bring innovation to products and services that transform the future of their industries. Yesterday, I had the privilege of representing angel investors (and entrepreneurs) as I gave testimony to the U.S. Innovation Tax Team led by Congressman Ron Estes as Chair and Congresswoman Michelle Steel for Congress as Vice-Chair in the Ways and Means Library in #WashingtonDC. The topic is an important one - incentivizing angels to put their after-tax dollars to work by investing in startups when they could invest elsewhere, as well as incentivizing entrepreneurs to build the innovative companies they (we) want to see in the world when they could get a job doing something else. If you listen to my podcast, Angel Next Door Podcast, you have heard about IRC Section 1202 which allows shareholders in a company who have held the stock for over 5 years, to NOT pay any capital gains tax if there is a positive return. (There are a few more details but that is the gist - listen to Jeffrey Solomon's episode to hear more - link in comments). My testimony included that at the Angel Capital Association, we believe that Section 1202 should not only be maintained but that it should be expanded to include new provisions that will benefit investors and entrepreneurs alike. These enhancements have been proposed in Representative David Kustoff’s Bill HR 2767 that called for the following: · Provide time spent under a Convertible Note investment to be counted in the holding period · Establish a phased in tax incentive beginning at 50% at year three, 75% at year 4 and maintaining a 100% exclusion for holding periods of 5 years or longer · Allowing corporate structures beyond just a C-Corp to be eligible for QSBS The House has passed these provisions and we are urging the Senate to take up the bi-partisan work of the House.
