Manufacturing, as often noted, is the backbone of the American economy. Manufacturers not only innovate and create products that contribute to the betterment of our way of life but are also critically fundamental to our national competitiveness in a global marketplace. Additionally, manufacturers offer excellent wages, and each dollar invested by manufacturers produces a multiplier effect for local economies. No wonder manufacturers are highly sought reportedly and recruited by state governments, oftentimes offering a variety of tax and other incentives associated with new or expanded plant facilities. In the areas of state tax incentives, the definition of what constitutes a manufacturer can be critical to understanding the potential availability of such incentives. This article addresses the definition of a manufacturer for selected incentives potentially available with respect to certain state business income taxes as well as and sales and use taxes. While there is a wide variety of state taxes, the scope of this publication is limited to addressing the definition of manufacturing only for particular issues pertinent to business income and sales/use taxes. Last week, Tennessee Bar Association (TBA) President and Baker Donelson shareholder Edward Lanquist spoke at the 2024 Equal Justice University conference, emphasizing the TBA's commitment to improving access to justice. Mr. Lanquist highlighted recent policy advocacy efforts, including an $8.6 million increase in indigent defense funding, and called for greater pro bono work, outreach to law students, and the use of technology to support underserved clients.

The Internal Revenue Service (IRS) and the Department of the Treasury (DOT) released regulations on Section 6418 of the Internal Revenue Code of 1986, as amended (the Code), on July 1, 2024, concerning the transfer of certain clean energy tax credits to unrelated taxpayers under the Inflation Reduction Act of 2022 (IRA). Additionally, taxpayers can take advantage of a five-time bonus of the credit amount by meeting certain labor requirements. Because any amount of cash paid in exchange for these credits is not included in the transferor's gross income, taxpayers should utilize available bonus incentives to maximize tax credit amounts. The United States Court of Appeals for the Fifth Circuit issued a ruling on August 23, 2024, vacating a 2021 Final Rule of the Department of Labor (DOL), which limited the circumstances under which employers can claim a "tip credit" for "tipped employees" under the Fair Labor Standards Act (FLSA). This decision is likely one of many to come following the Supreme Court's earlier decision to overturn the Chevron doctrine, which often required federal courts to defer to federal agencies, such as the DOL. The Supreme Court of the United States issued its highly anticipated ruling in a pair of cases challenging the long-standing Chevron doctrine on June 28, 2024. Foreshadowed by decisions in recent years slighting Chevron, it was widely expected that the Supreme Court would use its rulings in Loper Bright Enterprises v. Raimondo and Relentless, Inc. v. Department of Commerce to diminish if not entirely discard, Chevron's precedent of judicial deference to agencies. The Supreme Court took decisive action, overruling Chevron and changing the way courts will review federal agency-related litigation for many years to come. Sixty days after the publication of this monumental decision, Loper Bright has already begun to impact regulated industries nationwide. All three federal branches have responded to Chevron's demise: agencies are reevaluating how they approach rulemaking; Congress has introduced legislation to address agency deference, and federal judges have begun to interpret ambiguous statutes using their own methods of statutory construction rather than defer to agencies' interpretations. In particular, the health care industry has felt the aftershocks of Loper Bright in several cases over the past 60 days.
