A law firm in New York City, NY, is seeking an Investment Funds, Regulatory Associate Attorney to join their Regulatory Solutions practice within the Investment Funds Group. The ideal candidate will have 1-5 years of experience and specialize in representing registered and exempt investment advisers, as well as private U.S. and offshore investment funds.

Duties and Responsibilities:

  • Advise fund sponsors on the formation, structuring, and operation of investment funds, including hedge funds, private equity funds, and mutual funds.
  • Review and analyze offering materials, organizational documents, private placement memoranda (PPM), and limited partner agreements (LPA).
  • Provide legal guidance on compliance matters related to the Investment Advisers Act of 1940 and other relevant regulations.
  • Prepare and file annual regulatory filings with the SEC and assist in responding to regulatory examinations.
  • Conduct legal research and prepare memoranda on regulatory issues affecting private investment funds.
  • Collaborate with clients and senior attorneys to develop regulatory strategies and solutions.
  • Monitor regulatory developments and update clients on changes affecting investment funds.

Requirements:

  • Juris Doctor (JD), Master of Laws (LLM), or foreign equivalent degree.
  • Admission to the New York State Bar.
  • 1-5 years of experience in Investment Funds law, focusing on regulatory compliance and fund operations.
  • Strong understanding of the Investment Advisers Act of 1940 and other relevant securities laws and regulations.

Skills and Abilities:

  • Excellent analytical and problem-solving skills.
  • Proficiency in reviewing and drafting legal documents, including PPMs and LPAs.
  • Ability to manage multiple projects and deadlines effectively.
  • Strong communication skills, both verbal and written.
  • Detail-oriented with a high level of accuracy in legal research and analysis.

Education and Certifications:

  • Juris Doctor (JD), Master of Laws (LLM), or foreign equivalent degree in law
