In 2022, Faith In Nature became the first company in the world to appoint Nature to its board of directors. I think every area of the law can be reimagined to include Nature at its core. Here is a little chart showing how traditional areas of legal practice can evolve through the lens of Earth jurisprudence—the philosophy of law recognizing that humans are but one small part of the larger Earth community. Earth law is Earth jurisprudence in practice. ➡ What areas of law am I missing? I am sure there are many! (Cue brainstorm...)

This one’s a special one: the River Usk has officially appointed its own River Guardian. A big source of inspiration for Nature On The Board was the mind bending story of rivers (like the Wanghanui in New Zealand) gaining legal personhood. We can’t do exactly that in the UK - but by strange quirk of fate, many UK rivers have ‘nutrient management boards’. Exploiting these loopholes and playing in these negative spaces, it’s possible to appoint Nature (/the river) as a director of its own board! The Rights of Nature concept has been building and now has hit the mainstream in the UK - today one of the (fictional) farming companies featured in the BBC radio serial The Archers was talking about appointing a Board Member for Nature. As you would expect from the BBC, it's a well-researched storyline describing how the person will "hold the company to account" in its actions around Nature. 💥New legal opinion on directors’ duties published💥 The Commonwealth Climate and Law Initiative (CCLI), in collaboration with Pollination, is excited to announce the publication of a brand new UK legal opinion authored by a team of corporate and financial law barristers (high-ranking silks Sharif A. Shivji KC and Rebecca Stubbs KC leading Karl Anderson and Hossein Sharafi, with contributions from environmental law expert, James Burton)! The opinion discusses the duties of UK company directors to consider and assess nature-related risks and advises that: 🌱 Directors need to consider their company’s nature-related risks (which encompass, but are broader than, climate risks) as part of their duties under English company law. 🌱 Directors who fail to consider or act on relevant nature-related risks could be exposed to increased shareholder scrutiny, and face legal consequences under the Companies Act 2006 including being found personally liable for breaching their directors’ duties. 🌱 UK company directors who perceive that nature-related dependencies and impacts do pose latent financial risk to the company must assess and make decisions as to what action, if any, is to be taken and document such assessment for their protection. 🌱 If nature-related risks are perceived to be material, they should be disclosed in line with regulatory requirements at a minimum, and where there is an emerging market standard or investor expectation, directors should carry out voluntary disclosure. Following the recent extra-judicial commentary from retired Supreme Court judge Lord Robert Carnwath on the courts’ refusal to permit ClientEarth’s claim against the directors of Shell regarding their management of climate risks, directors can document active consideration of nature-related risks to protect themselves from litigation like the recent ClientEarth v Shell case. This is because, according to the opinion, another judge could have decided the case differently and the decision is not necessarily a bar to similar claims regarding nature-related risks. I’m so, so happy to welcome Juliet Rose (no relation!), Head of Development at Eden Project into the role for Faith In Nature. With a background in Plant Science and Horticulture and over twenty years experience in overseas conservation, creative community engagement, community-led planning and regeneration, I cannot wait to see where she takes Nature on the Board next.
