London is our biggest office, and we have one of the most 𝗰𝗼𝗻𝗻𝗲𝗰𝘁𝗲𝗱 𝗽𝗮𝗿𝘁𝗻𝗲𝗿 𝘀𝗲𝗮𝗿𝗰𝗵 𝘁𝗲𝗮𝗺𝘀 in the business.     With increasing compliance demands on businesses, we are also seeing a rise in the number of requests for experienced Company Secretaries. In some organisations the role of the Company Secretary is separate and in others it is combined with the role of the General Counsel.  Where the role is separated, we have noticed that Company Secretaries move roles to different organisations with greater frequency than General Counsel do since they tend to seek more variety through change. Sometimes —especially in listed businesses— GCs have no choice about also taking on the Company Secretary role. The role of the Company Secretary has great visibility within a company’s Board, so in organisations where GCs are not already reporting to the CEO we are regularly asked if taking on a joint CoSec/GC role is a good career move  – and if becoming a qualified Company Secretary is a string GCs should add to their bow. The role of the Company Secretary is a complex and demanding one and we advise GCs should carefully consider the amount of time they will need to dedicate to carry out the role effectively, and whether they have sufficient support within the company.     Updating your CV is a job no-one really enjoys doing – it can generate memories of having to do homework as a child. For transactional lawyers, the best way to maintain your CV is to keep a separate "deal sheet" which is easily added to as you gain more experience. This will then be your master CV and makes it easier to select relevant deals when it is needed for job applications. Our top tip is to add personal notes at the end of each deal, while they are fresh in your mind. Your deal notes. They should include: • what the commercial issues were; • what the legal issues were and how you dealt with them; • your role on the deal; • what you drafted; • who the parties on the other side were; and • anything unique or interesting about the deal. Next time you are preparing for an interview for a role you really want, you have your revision notes all ready to read through.     ESG is a topic which affects all businesses. It is central to the strategic management of a company, yet integrating ESG into business strategy remains a principal challenge for the C-suite. While more and more companies are appointing Chief Sustainability Officers, it is often the General Counsel/Chief Legal Officer that is tasked with sitting on internal committees to ensure that the business is complying with all relevant legal frameworks, particularly in FMCG companies. They also need to ensure that the company has its own house in order before making any ESG-related claims to customers.     When a candidate has two equally appealing offers, it’s a nice position to be in - but can also be a stressful one. Candidates need to consider… …which offer benefits their short, medium, and long-term career prospects? …can they overlook any differences in the compensation packages on offer? …how best to handle the pressure from partners, associates, and recruiters all advocating for their offer? It can also be stressful for the recruiting team, since they have… …spent hours on interviews, assessing credentials, and cultural fit …discussed compensation, internal approvals, and negotiations …worked hard to persuade the candidate to choose their offer In the end, only one firm wins, leaving the other disappointed - after having invested valuable time and effort.
