We are glad to share that HSA Advocates acted for and advised Tata Capital Limited (TCL), in connection with financial assistance, aggregating to a term loan facility of INR 300,00,00,000 (Indian Rupees Three Hundred Crores only) availed by Greenko Energy Projects Private Limited. The deal was closed in September 2024 and HSA team provided full transactional support to TCL including drafting, negotiation, finalization and execution of transaction documents in limited timeframe. The Ministry of Corporate Affairs and the Competition Commission of India notified certain amendments and regulations, effective September 10, 2024, which have introduced an additional criteria of deal value threshold (where target entities have substantial business operations in India, i.e., local nexus) for transactions, besides the existing thresholds on cumulative value of assets and turnover of the transacting parties, to trigger the notification requirement under the Competition Act, 2002.
