We have managed to obtain one of the first, if not the first merger control clearance under the new regime in place since June 1st 2024. We were also the first to obtain clearance regarding two interrelated transactions that are essentially linked and mutually contingent upon each other. The ECA were very efficient, professional and understanding and delivered this complex approval in a very short time under the circumstances. We are pleased to announce that Zulficar & Partners Law Firm represented Qalaa Holdings ("Qalaa") and its affiliates in two major debt restructuring and settlement agreements, marking a significant advancement in the Company's journey towards debt and financing cost reduction and profitability. The first agreement is an EGP 4.547 billion debt settlement with four prominent Egyptian banks: Banque Misr, Banque du Caire, Arab African International Bank, and Al Ahli Bank of Kuwait - Egypt. This settlement involves the transfer of a 17.68% stake in TAQA Arabia and a 60,127 square meter land plot in Tibeen to the Banks. Qalaa and its subsidiaries retain a call option to repurchase the 17.68% stake in Taqa Arabia from the Banks within five years. If not exercised, the Banks will have the right to resell the shares back to Qalaa within the sixth year. The agreement also includes compensatory mechanisms to the Banks for changes in the exchange rate and the agreed upon share price.   The second agreement is a debt restructuring and settlement with Arab International Bank (AIB), totaling USD 184 million (EGP 8.90 billion) to be repaid in installments plus interest between 2024 and 2033 in addition to an enhanced security package. The team is headed by Mona Zulficar, Founding Partner and Head of the Banking and Finance Group, and includes Rana El-Nahal, Partner, Jana Abul Magd, Associate, Mohamed Hassan, Associate and Emad Dyaa El-Din, Associate. Arab International Law Firm - Dr. Mohamed Hamouda acted as the legal advisor to the Banks. Zulficar & Partners Law Firm is proud to have advised The Sovereign Fund of Egypt (TSFE) on its exceptional landmark transaction of restructuring and privatization of the historic 7 Hotels of Egypt, through a capital increase of a newly established company “Legacy Hospitality Company, SAE” (Legacy), owned by TSFE and EGOTH. The investor is ICON International Hotel Investment, a subsidiary of TMG, and the investment to be made is $800 Million. The capital of Legacy after the capital increase will be in excess of $1.2 Billion. The Transaction Agreements have been signed on 20 December 2023. Three Founding Partners (Mona Zulficar, Dr. Firas El Samad and Anwar Zeidan) and Partner (khaled hammad), together with a team of associates worked on this transaction. We have worked closely and successfully in partnership with the exceptional TSFE legal and business team. We would like to thank the TSFE team for their leadership and exceptional dedication.
