    We are pleased to share Matouk Bassiouny & Hennawy’s (“MBH”) contribution to GAR MEA’s Arbitration Review for 2024. This article outlines the main features of Egypt’s arbitration legal framework and covers key developments in arbitration in 2023. It highlights the main arbitration principles established by the courts in 2023 concerning, inter alia, the scope and effect of the doctrine of res judicata, the applicability of the IBA Guidelines under Egyptian law, the consequences of not adhering to pre-arbitration conditions, the possibility to waive the right to enforce an arbitral award and the pro-validation approach undertaken by courts. F. John Matouk (Founding Partner and Group Head of Dispute Resolution) and Dr. Amr Abbas (Partner and Head of Arbitration and Co-Head of Competition) co-authored this year’s Egypt article.     We are pleased to announce that Matouk Bassiouny & Hennawy (“MBH”) acted as legal counsel to Tasaheel تساهيل (“Tasaheel”) in connection with an EGP 3.831 billion social sustainability securitization transaction. This transaction is the second issuance of Capital’s Fourth securitization program amounting to an aggregate of EGP 13 billion. The MBH team advising on the securitization was led by Mohamed Abdel Fattah (Partner and Head of Capital Markets), Ashraf Hendi (Partner), and included Khaled Abdul Wahab (Senior Associate), Esraa Mohamed (Senior Associate) and Habiba El Naggar (Associate). (“Halan - حالا”) in connection with an EGP 1.171 billion and an EGP 1.619 billion securitization transactions. These transactions are the first and second issuances of Capital’s Seventh securitization program amounting to an aggregate of EGP 8 billion.     We are pleased to announce that Matouk Bassiouny & Hennawy (“MBH”) acted as legal counsel to Otsuka Holdings Co., Ltd. (“Otsuka”), a prominent a holding company, which operates various businesses such as pharmaceuticals, nutraceuticals and consumer products, in connection with the CIB Egypt’s (“CIB”) divestment in Egypt Otsuka Pharmaceuticals (“EOP”) where Otsuka acquired CIB’s 12% equity stake. Through this acquisition, Otsuka seeks to strengthen its operations in the MENA region, with a particular focus on Egypt, to meet the growing demand for its products in the MENA region. In 2019, MBH played a crucial role by advising Otsuka in the strategic sale of a 12% stake to CIB. This partnership not only reinforced EOP’s market position but also facilitated new growth opportunities, further enhancing its commitment to improving healthcare outcomes. (“Safina B.V.”), which owns Safina Shipping Services S.A.E, a leading provider of maritime agency and cargo services in Egypt and across the Middle East region. The acquisition by Noatum marks a significant strategic development for the Spanish company to enhance its service offerings and strengthen its presence in key markets across Egypt, the Middle East, and North Africa. Safina B.V. operates from 6 strategic locations across Egypt, including its headquarters in Cairo, providing essential services across 15 Egyptian ports, including major hubs like Sokhna, Adabiya, Damietta, Port Said, and Alexandria.     For the fifth year in a row, Matouk Bassiouny & Hennawy (“MBH”) hosted the Egyptian National Rounds of Foreign Direct Investment International Arbitration Moot Court (“FDI Moot”) The FDI Moot is a platform for students to sharpen their skills in international investment arbitration, understand complex legal concepts and issues, and gain practical experience and advocacy skills. Upon the conclusion of the rounds, the GUC Team emerged victorious and won first place, while the Cairo University Team was the first runner-up. Ms. Jana Elsherbeeny won the best oralist in the final round. For the individual awards, Mr. Raheem Emam won the best oralist in the preliminary round; the first runner-up was Sumaya A., the second runner-up was Cinderella Montasser, and the third runner-up was Elhussein Salem. Congratulations to the winners and all other teams who participated fiercely and competitively.
