Global law firm Paul Hastings continued its focus on “The Future of International Arbitration” as part of São Paulo Arbitration Week with a special event hosted in our Sao Paulo office by partners from a range of offices and practices of the firm. The event focused on “Arbitration & Brazil: Contracts, Compliance, Arbitration and Enforcement,” and featured Jonathan C. Hamilton, Jonathan Kellner, Thomas Sines, and Diogo Metz, together with special guests Eleonora Coelho and Marike Paulsson, joined by partners Alex Cota and Colin Diamond. The panel focused on the relevance of compliance and investigation issues across the life cycle of investment, from steps taken at the time of contract from a transactional perspective, to the relevance of compliance during arbitration and enforcement proceedings. The panel focused on compliance issues as a component of a range of ESG issues impacting transactions and dispute resolution, including a particular focus on Brazil. The Paul Hastings team at the event drew on the firm’s strengths in the fields of arbitration, compliance and investigations, energy and infrastructure, financing, M&A, and capital markets; and deep Brazil-related experience. Employers take note: a series of recent developments could impact the way that companies across the country handle non-competition restrictions and retention rules. First, recent developments in the legal challenges to the FTC’s Non-Compete Clause Rule (the Rule) suggest that the Rule is unlikely to go into effect anytime soon. Second, the National Labor Relations Board’s (NLRB) General Counsel recently issued additional guidance relating to non-competes and “stay-or-pay” provisions, which will likely impact the NLRB’s prosecution of employers for the use of such agreements. On October 29, 2024, the U.K. Government and the European Union formally concluded a technical negotiation in relation to cooperation between the U.K. and the EU with respect to competition investigations (the Cooperation Agreement). The Cooperation Agreement will be relevant to businesses that are notifying transactions to competition authorities in the EU or the U.K. With respect to a transaction feasibility assessment, where merger filings are anticipated in EU countries or the U.K., businesses should be alive to potential theories of harm that could be relevant in each of the applicable jurisdictions, as the respective competition authorities may coordinate in relation to merger assessments, and, as a result, the enforcement of possible remedies.
