𝐃𝐋𝐂 𝐘𝐞𝐚𝐫𝐥𝐲 𝐔𝐩𝐝𝐚𝐭𝐞 𝐎𝐧 𝐕𝐞𝐫𝐭𝐢𝐜𝐚𝐥𝐬 - 𝐑𝐏𝐌 On 10 October 2024, the Distribution Law Center held its 3rd Yearly Update on Verticals. In the coming weeks, we will delve into the various topics covered during the webinar, such as resale price maintenance, territorial restrictions, online sales and advertising restrictions, parity clauses, dual distribution, and relevant developments in the UK for businesses. Kicking off with our first topic on resale price maintenance: Sara Martins (Partner SRS Legal) and Minos van Joolingen (Partner Banning Advocaten) shared their insights on the ECJ ruling in Super Bock and the Samsung & LG case in the Netherlands. In particular, the speakers gave practical answers to the following concrete business questions: • Is there an ‘agreement’ within the meaning of Article 101(1) TFEU when a supplier imposes on its distributors minimum resale prices of the products that it markets? • Is a ‘hardcore restriction’ a restriction by object? • Do we see a radical policy change or is there a consistent application of the RPM doctrine in the Netherlands? This investigation, initiated in March 2022, showed that OKI Europe, through its subsidiary OKI Poland and Romanian distributor General Systems, imposed resale prices based and restricted exports. This case underscores the Romanian Competition Council’s renewed focus on vertical restrictions and highlights the effective use of mutual assistance within the European Competition Network. 𝐒𝐩𝐨𝐭𝐥𝐢𝐠𝐡𝐭 𝐨𝐧 𝐃𝐋𝐂 𝐜𝐚𝐬𝐞 𝐜𝐚𝐫𝐝𝐬 - 𝐋𝐚𝐧𝐝𝐦𝐚𝐫𝐤 𝐂𝐚𝐬𝐞 # 𝟓: 𝐌𝐞𝐥𝐢𝐚 (𝐇𝐨𝐥𝐢𝐝𝐚𝐲 𝐏𝐫𝐢𝐜𝐢𝐧𝐠) (𝐀𝐓.𝟒𝟎𝟓𝟐𝟖) In this fifth edition of our series, we highlight our case card on the Commission’s Melia decision. 𝐊𝐄𝐘 𝐅𝐀𝐂𝐓𝐒 📌 • The case involves Meliá Hotels International, S.A., a major global hotel company and the largest hotel chain in Spain, and its agreements with tour operators Kuoni, REWE, Thomas Cook, and TUI. These agreements included clauses that restricted cross-border sales of hotel accommodations. • These restrictive clauses were found in about 30% of the contracts between 1 January 2014 and 31 December 2015. Specifically, the agreements allowed Meliá to reject reservations based on the consumer’s country of residence if it was not listed in the contract. 𝐂𝐎𝐌𝐌𝐈𝐒𝐒𝐈𝐎𝐍'𝐒 𝐑𝐔𝐋𝐈𝐍𝐆 ⚖️ • In its decision of 21 February 2020 the European Commission ruled that these practices violated Article 101 (1) TFEU, because by partitioning the single market, the agreements prevented tour operators from selling hotel accommodations across borders, thereby restricting competition. • The Commission determined that Meliá’s practices were inherently anti-competitive, regardless of whether the restrictive clauses were actively enforced. • Meliá cooperated with the European Commission during the investigation, resulting in a reduced fine of EUR 6,678,000 (including a 30% reduction).
