You acknowledge that your company (or its affiliate) that you are acting on behalf of (“Your Company”) and OptimizeRx Corporation (or its affiliate) (“OptimizeRx”) have signed a non-disclosure agreement (or similar titled document) (“NDA”), which is incorporated into this Agreement as if fully set forth herein. As part of potential discussions between Your Company and OptimizeRx regarding a potential business relationship, the NDA sets forth the terms and conditions under which OptimizeRx may disclose its Confidential Information (as defined in the NDA). In order to access OptimizeRx’s Confidential Information, including but not limited to its API documentation, you must agree to the terms of the NDA and this Agreement.
You agree that you have read the terms of the NDA, and you agree, individually, to abide by all the terms and conditions set forth in the NDA and this Agreement. In addition to any restrictions in the NDA, you agree to use OptimizeRx’s Confidential Information for evaluation of the Purpose (as defined in the NDA) only, and you agree that OptimizeRx’s Confidential Information cannot be used for any testing or production purposes. You agree that (a) you have read and understand this Agreement; (b) that this Agreement has the same force and effect as a signed agreement; and (c) that you are authorized to accept the terms of this Agreement.
