- Initial public offerings of debt and equity, subsequent offerings and shelf registrations for public companies, and private placements of debt and equity
- Prepared and filed reporting and compliance documents with the Securities and Exchange Commission
- Provided counsel to publicly, privately and family owned corporations in corporate compliance and transactional matters, including purchase and sale of assets, mergers, private offerings, joint ventures, maintenance of board minutes and other general corporate matters
- Negotiated and drafted documentation for approximately 20 acquisitions in one year as part of a nationwide industry roll-up
- Negotiated and drafted numerous security, financing, operating, supply, employment, license and other agreements for companies in a wide range of industries
